These terms are an agreement between 1001719226 Ontario Inc., operating as Everly AI ("we", "us"), and the business that signs up to use Everly ("you", "your business"). By creating an account or using Everly, you accept them. If you do not accept them, do not use Everly.
If you are signing up for a business, you confirm you are authorised to bind that business to these terms.
Everly is an AI for small businesses. She works inside your own workspace and takes on operational work you would otherwise do yourself: drafting marketing copy, coordinating your calendar, turning calls into structured notes and follow-ups, keeping your customer records tidy, and drafting email in your team's voice.
She is a tool that produces drafts and proposals for you. The judgment about whether to use them stays with you, and section 5 is the part of these terms that matters most.
Keep your sign-in details to yourself and tell us promptly if you think someone else has reached your account. You are responsible for what happens through it. Everly is for business use by people aged 18 or over.
You are responsible for the accounts you connect and for having the right to connect them. If the Google mailbox you connect is not yours to connect, that is a problem you need to resolve before connecting it.
Everly's work is measured in units of computing. Different work costs different amounts: a short answer is inexpensive, generating an image or reading a long document costs more. Your plan includes a monthly allowance of units, and the current allowances and prices are on our pricing page, which is the authoritative source rather than this document.
Included units are use-it-or-lose-it each month. Bought units keep. Changing plan resets your month and you can only do it once a month.
New workspaces start with a free allowance of units and no card required. When it runs out you choose a plan or stop. We will not charge you for a trial and we will not ask for a card to begin one.
Paid plans bill in advance each period through our payment processor, Stripe. Prices are exclusive of applicable taxes, which we add where required. You authorise us to charge your payment method for your plan and for any top-ups you buy.
You can cancel at any time and your plan runs to the end of the period you have paid for. We do not refund part periods or unused units as a matter of course. If something on our side has gone genuinely wrong, write to us and we will make it right rather than point at this paragraph.
We may change prices with at least 30 days' notice before they take effect for you. If a change does not suit you, cancel before it applies.
Everly does internal work freely: drafting, summarising, organising, and proposing. Anything that leaves your business or changes a record outside it goes to an approval queue and waits for you. No email is sent, no calendar invitation is issued, and no external record is changed unless you approve it.
When you approve something, you are responsible for it. An approved message is your message. It carries your name, your business, and your obligations, and it is treated as though you wrote it yourself, because in the way that counts you did. Read what you approve.
The approval step is not a formality we added for comfort. It is the point where responsibility passes from the draft to you. Everly can be wrong, and approving without reading is how a wrong draft becomes your problem.
Everly is a drafting and coordination tool, not a professional adviser. Her output is not legal, medical, accounting, tax, or financial advice, and it is not a substitute for a qualified professional. She can be confidently wrong. Verify anything that carries consequences before you act on it.
Everly is an AI, and every message she helps you send says so. You agree not to remove or obscure that disclosure, and not to present her work in a way that suggests a person wrote it when one did not.
Your information stays yours. Everything you tell Everly, upload to her, or connect her to remains yours. You grant us only the permission we need to run the service for you: to store it, process it, and pass the necessary parts to the providers in section 9 of the Privacy Policy. That permission ends when you delete the information or close your account.
What she produces for you is yours. Drafts, summaries, notes, and images she creates for your business belong to you, to use however you like. Bear in mind that AI-generated material may not attract copyright protection in every country, and that similar output may be produced for someone else.
Everly herself stays ours. The product, the software, the brand, and the name are ours, and these terms do not transfer any of it to you.
If you break these rules in a way that puts other people at risk, we may suspend your account. We will tell you why, and where the situation can be fixed we will give you the chance to fix it.
Connecting Google is optional and always yours to undo. While connected, Everly reaches those services with the narrowest permissions each feature needs, and her use of Google user data follows the Google API Services User Data Policy, including its Limited Use requirements. Disconnecting revokes our access immediately.
Those services are run by their providers and not by us. We are not responsible for their availability or for changes they make to what they allow.
We work to keep Everly available and will give notice of planned maintenance where we reasonably can. We do not promise uninterrupted service, and we do not offer a service level guarantee at this stage. Everly is early software and is still changing, sometimes quickly.
What you tell Everly about your business is confidential to you. We do not disclose it to anyone outside our service providers, we do not share it with other businesses, and we do not use it to train models. This obligation survives the end of these terms.
Everly is provided as is and as available. To the fullest extent the law allows, we exclude all implied warranties, including those of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that her output is accurate, complete, or suitable for your purposes, which is why section 5 puts the approval, and the judgment, with you.
Nothing in these terms limits any right you have under consumer protection legislation that cannot lawfully be limited.
To the fullest extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost business, or lost data, however caused.
Our total liability arising out of or relating to these terms is limited to the amount you paid us in the 12 months before the event giving rise to the claim.
These limits do not apply to fraud, wilful misconduct, or anything that cannot lawfully be limited.
You will indemnify us against claims brought by a third party arising from your use of Everly in breach of these terms, from content you approved and sent, or from information you gave her that you had no right to share.
You can close your account at any time, from inside the product. We may end these terms on 30 days' notice, or immediately if you breach section 8 in a way that puts others at risk.
Before you go, you can export your information. After closure we delete it on the schedule in the Privacy Policy: within 30 days from live systems, within 90 days from backups. Sections 7, 11, 12, 13, 14, and 17 survive.
Leaving is a button, not a negotiation. You take your information with you and we delete ours.
We may update these terms. Where a change materially affects your rights, we will give you at least 30 days' notice in the product or by email before it takes effect. Continuing to use Everly after that means you accept the change. If you would rather not, cancel before it applies.
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts of Ontario have exclusive jurisdiction, and both of us submit to them.
